IMPORTANT: PLEASE READ THESE OFFICIAL RULES, WHICH ARE A CONTRACT, CAREFULLY BEFORE ENTERING. WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SPONSOR FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES. BY TAKING ANY ACTION TO PARTICIPATE, YOU AGREE TO BE BOUND BY THESE OFFICIAL RULES AND REPRESENT THAT YOU SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS.

OVERVIEW: The After Show Caption Contest [ Wed, Nov 16 2022 – Fri, Dec 30 2022] (“Contest”), sponsored by Electric Entertainment, 962 N. La Cienega Blvd., Los Angeles, CA 90069, U.S.A. (“Sponsor”), begins at [9:00:00 AM] Pacific Time (“PT”) on Wed, Nov 16 2022 and ends at [9:00:00 AM] PT on Wed, Nov 16 2022 (“Contest Period”). During the Contest Period, eligible individuals (as defined below) may direct message Sponsor’s Instagram account @afterleverage with a photo caption they created and follow Electric’s and The After Show’s Instagram accounts for a chance to have their caption and social media handle featured on an upcoming episode of The After Show.
ELIGIBILITY: Subject to the restrictions below, the Contest is open only to individuals worldwide who are at least thirteen (13) and the age of majority under applicable law in their jurisdiction of primary residence as of the start of the Contest Period, who during the Contest Period have an active Instagram account in good standing and a valid email address. Sponsor will make such Contest announcements on an approximately weekly basis—one for each separate Contest prize—on Instagram via Sponsor’s account at @afterleverage.
Employees, officers, directors, members, managers, agents, and representatives of Sponsor or its parent or subsidiary companies, affiliates, divisions, representatives, consultants, sub-contractors, suppliers, distributors, legal counsel, prize providers, contest administrators, advertising, public relations, promotional, fulfillment or marketing agencies (collectively the “Released Parties”) and members of their immediate families (defined for these purposes as including spouse, domestic partner, parents, legal guardian, legal ward, children, and siblings and each of their respective spouses) and individuals living in the same household as such individuals, are not eligible.
In addition, you are not eligible to participate if you reside in (i) a jurisdiction where United States or local law prohibits participating in or receiving a prize in the Contest; or (ii) a country or jurisdiction that is the target of U.S., EU, United Nations, or UK comprehensive trade sanctions (e.g., Crimea, Donetsk, and Luhansk regions of Ukraine, Cuba, North Korea, Iran, and Syria, as such list may be amended).
TO ENTER: Eligible individuals are invited to enter in the following way:
During the Contest Period, have your Instagram account follow (and be following) and @afterleverage (https://instagram.com/afterleverage); and
During the Contest Period, direct message Sponsor’s (i.e. The After Show’s) account after Sponsor makes an Instagram announcement post regarding each Contest photo within the Contest period for that post. For clarity, an individual will be eligible for a particular Contest prize only if they have direct messaged @afterleverage.
WINNER SELECTION/NOTIFICATION: With respect to those eligible individuals who enter the Contest by retweeting or direct messaging Sponsor, the winners of the prizes detailed in the “Prizes, Odds, & Approximate Retail Value” section below will be selected by a panel of judges from among all eligible entries received, subject to verification, on an approximately weekly basis during the Contest Period. Please note that, to the extent applicable, winners are responsible for federal, state and local taxes (if any), as well as any other costs and expenses associated with prize acceptance and use not specified herein as being provided.
Sponsor or its designee will attempt to notify potential winner(s) that they may have won a prize by direct messaging them or using other contact information provided for entry in Sponsor’s sole discretion. In addition, a potential winner’s name, social media handle and/or other general information may be posted on a Sponsor’s podcast, online show, web site or elsewhere publicly in Sponsor’s sole discretion. If any prize, prize notification, or Contest-related communication is rejected, faulty, or undeliverable; if potential winner does not respond according to the notification’s or Sponsor’s instructions; or if winner or potential winner fails to comply with these Official Rules, the prize may, in Sponsor’s sole discretion, be forfeited and an alternate winner may be selected (time permitting) based on the original method of winner selection or other method that is fair in Sponsor’s sole discretion. Sponsor is not obligated to pursue more than three (3) alternate winners for any prize for any reason, in which case such prize may go unawarded. Sponsor reserves the right to modify the notification procedures and applicable deadlines for responding in connection with the selection of any alternate potential winner, if any. If a prize is legitimately claimed, it will be awarded. Upon prize forfeiture or inability to use a prize or portion thereof, no compensation will be given, and Sponsor will have no responsibility or liability to that participant. To claim a prize, winner must follow the directions in his or her notification. Winner may, in Sponsor’s sole discretion, be required to complete, sign, notarize (if applicable), and return, without alteration and in the form presented by Sponsor, an affidavit of eligibility and liability/publicity release and tax forms (collectively, the “Winner Documents”) according to Sponsor’s instructions within seven (7) days from when Sponsor sends the Winner Documents or other time frame as specified by Sponsor or its representative. Failure to comply with these requirements, Sponsor’s or its representative’s instructions, or these Official Rules may, in Sponsor’s sole discretion, result in disqualification from the Contest and forfeiture of any prize potentially won. The Winner Documents, if required, are each subject to verification by Sponsor and may require the participant to provide his or her government identification number and/or a copy of government-issued identification card or number therefrom. Forms may be issued as appropriate in Sponsor’s sole discretion. Decisions of the Sponsor are final on all matters relating to the Contest, including interpretation of these Official Rules, determining the winners, and awarding of the prizes.
PRIZES, ODDS & APPROXIMATE RETAIL VALUE (“ARV”): Prize redemption is subject to review and verification. Sponsor reserves the right to provide an alternate incentive of equal value if any factor outside its control makes it impossible to fulfill the incentive as described or materially affects its ability to do so. Odds of winning depend on the number of eligible entrants A panel of qualified judges determined by Sponsor will judge each entry based equally on the originality, creativity, and relevance. The entrant(s) who submitted the entry(ies) with the highest score(s) will be deemed the potential winner(s) for the contest at issue. In the event of a tie, an additional, “tie-breaking” judge will determine the potential winner(s) based on the same criteria used by the original panel of judges. Sponsor reserves the right not to award any or all prizes in any contest if, in its sole discretion, it does not receive a sufficient number of eligible and qualified entries for that contest. Judging scores will not be revealed. Total ARV of all prizes: $1.00 (US).

▪ Photo 5 - Dec 12 - Dec 19 – 3 winners will be chosen and have the captions they submitted and their social media handle featured on an episode of The After Show
▪ Photo 6 - Dec 19 - Dec 26 – 3 winners will be chosen and have the captions they submitted and their social media handle featured on an episode of The After Show
▪ Photo 7 - Dec 26 - Dec 30 – 3 winners will be chosen and have the captions they submitted and their social media handle featured on an episode of The After Show
All prize details not specifically stated in these Official Rules will be determined by Sponsor in its sole discretion. Sponsor is not responsible for and will not replace any lost, mutilated, or stolen prize, or any prize that is undeliverable or does not reach a winner because of incorrect or changed contact information. If a winner does not accept the entire prize, the prize will be forfeited, and Sponsor will have no further obligation with respect to that prize or any portion of the prize. Sponsor is not responsible for any inability of any winner to accept or use any prize (or portion thereof) for any reason. Winner is strictly prohibited from selling, auctioning, trading or otherwise transferring any part of a prize. No transfers, prize substitutions or cash redemptions will be made. Sponsor reserves the right to substitute the stated prize or portion thereof with another prize or portion thereof of equal or greater value for any reason. No more than the stated prizes will be awarded. Participants waive the right to assert as a cost of winning any prize, any and all costs of submission, verification and redemption and any liability and publicity which might arise from claiming or seeking to claim a prize.
LIMITATION OF LIABILITY: EACH PARTICIPANT AGREES TO RELEASE, HOLD HARMLESS, AND INDEMNIFY EACH OF THE RELEASED PARTIES FROM AND AGAINST ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE ACCEPTANCE, USE, MISUSE, OR AWARDING OF THE PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELING TO OR FROM ANY PRIZE- OR CONTEST-RELATED ACTIVITY INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, LOSS, DEATH OR ACCIDENT TO PERSON OR PROPERTY. EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
EACH PARTICIPANT UNDERSTANDS AND AGREES THEY EXPRESSLY WAIVE ALL RIGHTS UNDER ANY LAW WITH LANGUAGE SIMILAR TO THE FOLLOWING:
“CERTAIN CLAIMS NOT AFFECTED BY A GENERAL RELEASE. A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”
ADDITIONAL DISCLAIMERS: Released Parties are not responsible and/or liable for any of the following, whether caused by a Released Party, the Participant, or by human error: entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program); any lost, late, incomplete, illegible, unintelligible, garbled, mutilated, or misdirected entries, email, mail, or Contest-related correspondence or materials or postage-due mail; any error, omission, interruption, defect or delay in transmission or communication; viruses or technical or mechanical malfunctions; interrupted or unavailable cable or satellite systems; errors, typos, or misprints in these Official Rules or, in any Contest-related advertisements, or other materials; failures of electronic equipment, computer hardware, or software; lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications or entry information. Released Parties are not responsible for electronic communications that are undeliverable or do not reach Participant as a result of any form of active or passive filtering of any kind, or insufficient space in a participant’s email or social media account to receive email messages. Released Parties are not responsible, and may disqualify you, if your email address or other contact information does not work or is changed without prior written notice to Sponsor. Without limiting any other provision in these Official Rules, Released Parties are not responsible or liable to any Participant or winner or any person claiming through such Participant or winner for failure to supply the prize or any part thereof in the event that any of the Contest activities or Released Parties’ operations or activities are affected, as determined by Sponsor in its sole discretion, including, without limitation, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity (whether or not the action, regulations, order or request proves to be invalid), equipment failure, threatened terrorist acts, terrorist acts, air raid, blackout, act of public enemy, earthquake, war (declared or undeclared), fire, flood, epidemic, pandemic, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any law, rule, regulation, order or other action adopted or taken by any governmental authority, or any other cause, whether or not specifically mentioned above.
GENERAL RULES: Sponsor’s decisions will be final in all matters relating to this Contest, including interpretation of these Official Rules, determination of any winner, and awarding of any prize. All participants, as a condition of entry in the Contest, agree to be bound by these Official Rules and the decisions of Sponsor. Failure to comply with these Official Rules may result in disqualification from the Contest. Participants further agree to not damage or cause interruption of the Contest and/or prevent others from using the Contest Site. Sponsor reserves the right to restrict or void online entries or participation from any IP address if any suspicious entry and/or participation is detected. Sponsor reserves the right, in its sole discretion, to void entries of any Participants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of the Contest. Sponsor’s failure to or decision not to enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Contest-related materials and/or these Official Rules (including any alleged discrepancy in these Official Rules), it will be resolved by Sponsor in its sole discretion. Participants waive any right to claim ambiguity in any Contest materials or these Official Rules. If Sponsor determines, at any time and in its sole discretion, that a winner or potential winner is disqualified, ineligible, in violation of these Official Rules, or engaging in behavior that Sponsor deems obnoxious, inappropriate, threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to disqualify that winner or potential winner, even if the disqualified winner or potential winner may have been notified or displayed or announced anywhere. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules will otherwise remain in effect and will be construed in accordance with their collective terms as if the invalid or illegal provision were not contained herein. If the Contest is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify or suspend the Contest and award the prize from eligible entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor. If any person supplies false information, obtains entries by fraudulent means, or is otherwise determined to be in violation of these Official Rules in an attempt to obtain any prize, Sponsor may disqualify that person and seek damages from him or her and that person may be prosecuted to the full extent of the law. In the event of a dispute concerning who submitted an entry, the participant will be declared to be the registered account holder of the social media account and email address provided to earn the entry, but only if that person meets all other eligibility criteria, otherwise the entry may, in Sponsor’s sole discretion, be disqualified and any potential prize won forfeited. A registered account holder is defined as the natural person who is assigned to a social media account and email address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning social media accounts and email addresses for the domains associated with the submitted social media handle and email address. Winner may be required to show proof of being the registered account holder. If a dispute cannot be resolved to Sponsor’s satisfaction, in its sole discretion, the entry will be deemed ineligible. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE SERVICE OR WEBSITE OR TO UNDERMINE THE LEGITIMATE OPERATION OF A CONTEST VIOLATES CRIMINAL AND CIVIL LAWS. IF SUCH AN ATTEMPT IS MADE, SPONSOR MAY DISQUALIFY ANY PARTICIPANT MAKING SUCH ATTEMPT AND MAY SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.
DISPUTES/GOVERNING LAW: Except where prohibited, as a condition of participating in this Contest, each Participant agrees that any and all disputes that cannot be resolved between the Participant and any Released Party, claims and causes of action arising out of or connected with this Contest, or the prize awarded, or the determination of a winner must be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will a Participant be permitted or entitled to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees, other than Participant’s actual out-pocket expenses (if any), not to exceed $10 USD, and Participant further waives all rights to have damages multiplied or increased.
THIS CONTEST, THESE OFFICIAL RULES, AND ANY DISPUTE ARISING UNDER OR RELATED THERETO (WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT OR OTHERWISE) WILL BE GOVERNED, CONSTRUED, AND INTERPRETED UNDER THE LAWS OF THE STATE OF CALIFORNIA, USA, WITHOUT REFERENCE OR GIVING EFFECT TO ITS CONFLICTS OF LAW PRINCIPLES OR RULES THAT WOULD CAUSE THE APPLICATION OF ANY OTHER JURISDICTION’S LAWS. ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS RELATED TO THIS CONTEST (WHETHER FOR BREACH OF CONTRACT, TORTIOUS CONDUCT, OR OTHERWISE) WILL BE BROUGHT EXCLUSIVELY IN THE COURTS IN, OR HAVING JURISDICTION OVER, LOS ANGELES, CA, USA, AND EACH PARTICIPANT IRREVOCABLY ACCEPTS, SUBMITS, AND CONSENTS TO THE EXCLUSIVE JURISDICTION AND VENUE OF THESE COURTS WITH RESPECT TO ANY LEGAL ACTIONS, SUITS, OR PROCEEDINGS ARISING OUT OF OR RELATED TO THIS CONTEST. YOU WAIVE ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THESE COURTS AND HEREBY SUBMIT TO THE JURISDICTION OF THOSE COURTS.
